These Terms of Service ("Terms") are an agreement between you and NAVORINA LLC, a Wyoming limited liability company ("Navorina", "we", "us"). They cover navorina.ai, the Navorina web and mobile apps, the Navorina Telegram bot, Magic Inbox and every related service (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm that you can bind that company, and "you" means the company.
1. What Navorina is
Navorina is a finance workspace for freelancers and small businesses. It helps you send invoices, keep receipts, see balances and activity from accounts you connect, and get plain-language summaries of your numbers.
Navorina is software. It is not a bank, a money transmitter, a payment processor, a broker, an exchange, an accountant, a tax adviser or a law firm. See Section 6 and Section 8.
2. Pilot and beta
The Service is in an invite-only pilot. Pilot and beta features:
- may change, pause or be removed at any time, with or without notice;
- may contain errors, lose data or show wrong numbers, so keep your own records;
- may be offered free or at a discount for a limited time.
We may limit who can join the pilot and end anyone's pilot access. If you send us feedback, we may use it without any obligation to you.
3. Your account
You must be at least 18 years old and able to enter a binding contract. Give us accurate information and keep your sign-in details safe. You are responsible for everything done through your account. Tell us at once at [email protected] if you think someone else has access to it.
4. Plans and payment
Navorina has a Free plan and paid plans, currently Pro and Plus. Prices and what each plan includes are shown on the pricing page and at checkout.
- Paid plans are billed in advance, monthly or yearly, through Stripe. They renew automatically until you cancel.
- You can cancel at any time in Settings or by writing to [email protected]. Cancellation takes effect at the end of the current billing period, and you keep paid features until then.
- Fees are non-refundable except where the law requires a refund or we say otherwise in writing.
- We may change prices. A new price applies from your next billing period, and we will tell you at least 30 days before.
- Prices do not include taxes unless stated. You pay any taxes that apply.
- Complimentary or pilot plans can end when the pilot ends. We will tell you before a free plan turns into a paid one, and it will never be charged without your consent.
5. Your data and content
You own the data you put into Navorina: invoices, clients, receipts, transactions, notes and files ("Your Content"). You give us a limited license to store, process, copy and display Your Content only to run, secure and improve the Service for you, as described in the Privacy Policy. We do not sell Your Content.
You confirm that you have the right to upload or forward Your Content, including emails you forward to Magic Inbox and data about your own clients, and that doing so does not break any law or anyone's rights.
You can delete items in the app and ask us at any time for an export or full deletion of Your Content. When you close your account we delete it as described in the Privacy Policy.
6. Money: we do not hold your funds
Navorina does not receive, hold, move or control your money or crypto assets. Payments, transfers, card charges, currency conversion and crypto purchases are carried out by independent licensed providers, on accounts that you open with them in your own name, under their own terms:
- Stripe processes card payments for Navorina subscriptions.
- Wise holds and moves money in your own Wise account. Navorina reads it and shows it to you with the access you grant.
- Transak sells crypto to you directly. The crypto goes to a wallet you control.
- Request Network and the Base network carry crypto invoice payments straight from the payer to your own wallet.
When you use those features you also accept the provider's terms, and the provider, not Navorina, is responsible for the transaction, identity checks (KYC/KYB), limits, fees and any refund or reversal. Navorina never has the private keys to your wallets and cannot reverse a blockchain transaction. Check every address and amount before you send or share it.
7. Integrations and the Telegram bot
You can connect third-party services such as Wise, Xero, Telegram, Google sign-in and your crypto wallet. You authorize us to access them for you within the access you grant, and you can disconnect them at any time. We are not responsible for third-party services, their availability or their changes.
The Telegram bot sends and receives messages through Telegram. Messages you send to the bot are processed by Navorina and by Telegram under Telegram's own terms. Do not send the bot passwords, full card numbers or other secrets.
8. Not financial, tax or legal advice
Everything in the Service, including AI answers, summaries, categories, tax estimates, cash forecasts and exchange rates, is information to help you think. It is not financial, investment, tax, accounting or legal advice, and it is not a recommendation to buy, sell or hold anything. Talk to a qualified professional before you make a decision.
- AI answers are generated by software, can be wrong or incomplete, and may not reflect your full situation. Check them before relying on them.
- Exchange rates on navorina.ai/rates and in the app are a reference only. They come from public sources, may be delayed, and are not an offer. The rate a bank or provider gives you will differ.
- "What will arrive" and other estimates of fees, conversion results or timing are estimates. The final amount is set by the provider that moves the money.
9. Acceptable use
Do not use the Service to:
- break any law, including sanctions, anti-money-laundering, tax, consumer and privacy laws;
- send spam, unsolicited invoices or reminders, or messages to people who did not agree to hear from you;
- upload malware, or content you have no right to share;
- try to access accounts or data that are not yours, probe or overload the Service, or get around its limits;
- copy, resell or reverse-engineer the Service, except as the law allows;
- pretend to be someone else or misrepresent your business.
We may remove content, pause features or suspend accounts that break these rules or put the Service or other people at risk.
10. Intellectual property
The Service, its software, design and brand belong to NAVORINA LLC and its licensors. These Terms give you a personal, non-exclusive, non-transferable right to use the Service while your account is active. Photos on navorina.ai include images from Unsplash used under the Unsplash License.
11. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Service will be uninterrupted, error-free or secure, or that data will never be lost.
12. Limitation of liability
To the fullest extent the law allows:
- NAVORINA LLC and its members, managers, employees and contractors are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill;
- we are not liable for acts or failures of payment providers, banks, blockchains, wallets or other third parties;
- our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US $100.
Some places do not allow these limits, so they apply to you only as far as the law permits.
13. Indemnity
You will defend and hold harmless NAVORINA LLC from claims, losses and costs (including reasonable legal fees) that come from Your Content, your use of the Service in breach of these Terms, or your breach of law or of anyone's rights.
14. Ending the agreement
You can stop using the Service and close your account at any time. We may suspend or end your access if you break these Terms, if the law requires it, or if we stop offering the Service. Where we can, we will give notice and time to export Your Content. Sections 5, 6, 8 and 10 to 15 survive termination.
15. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in Wyoming, and both sides agree to their jurisdiction. This does not take away mandatory consumer rights you have where you live.

16. Changes to these Terms
We may update these Terms. If a change is material, we will tell you by email or in the app at least 30 days before it takes effect, unless the change is required by law sooner. If you keep using the Service after that, the new Terms apply.
17. Other terms
These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If a part is unenforceable, the rest stays in force. Not enforcing a right is not a waiver. You may not transfer these Terms without our consent; we may transfer them with our business. We are not liable for delays caused by events outside our reasonable control.
